To obtain duplicate share certificate in case the original one has been lost, destroyed or misplaced, an affidavit, copy of FIR filed, surety form and other supporting documents has to be filed.After processing the service request, the RTA shall issue a ‘Letter of Confirmation’ to the securities holder/claimant, which is valid only for 120 days. Using this ‘Letter of Confirmation’, the securities holder/claimant shall request the DP to dematerialize the securities.

According to the Securities and Exchange Board of India (SEBI)’s latest notification the transfer and conversion of physical shares, a shareholder can not transfer his shares & securities held in physical mode post-April 1, 2019. Harmilap RTA manages the ISIN generation, dematerialization and all further securities related activities which is mandatory for all the unlisted public companies in order to file the Reconciliation and Share Capital Audit Report in Form PAS-6 introduced by the MCA.

WHY THE NEED TO GET LIMITED COMPANY ADMITTED WITH A DEPOSITORY (NSDL / CDSL) ?

The Ministry of Corporate Affairs (MCA) vide its circular on 10th Sept 2018 has made it compulsory for the dematerialisation of shares by Unlisted Limited companies apart from Listed companies in order to move towards a more digital economy where all shareholdings, whether listed or unlisted, are in demat form. What is the Process of the dematerialization of shares?

Dematerialisation of shares refers to the process of conversion of shares from physical mode to electronic format. Such dematerialised shares are maintained in an account known as Demat Account. Demat accounts are regulated by two major depositories - the National Securities Depository Limited (NSDL) and Central Depository Services Limited (CDSL).
